The commercial property / business transfer process can be reasonably straightforward but it is essential to employ the services of a lawyer right from the start.
If you are happy with the property / business, its legality, financial status, licences and so on, and your purchase offer is accepted, you must pay 10% deposit into a Client Account for the option contract. This fixes the price and takes the premises / business off the market.

Having agreed to your option contract, you are usually bound to pay the 90% balance (plus legal fees, etc) as a lump sum on completion 1 month later (or as varied by the contract). If you don't - you will lose your money (unless it transpires that the legalities of the business are incorrect).
You must therefore be able to raise the necessary funds and, unless you are buying a freehold, it is unusual to obtain a mortgage / lending for a business in Spain - even on a lease of a successful business premises. You will of course also need enough cashflow to cover the initial few months operations including rent and the rental deposit (2 or 3 months) although sometimes, landlord offer a rent-free period (typically 3 months), especially if the property needs fitting out (as from new, or the refurbishment of an empty unit).
